Intellectual Property Security Agreement
(Short Form)

This template is an Intellectual Property Security Agreement (Short Form) that is used to grant a collateral agent security interests in the intellectual property and related licenses of grantors as collateral for a secured loan transaction. This template is used in addition to a general security agreement that more broadly covers intellectual property. This template includes practical guidance and drafting notes. Separate intellectual property short-form security agreements are traditionally executed to be filed with the U.S. Copyright Office and U.S. Patent and Trademark Office, with a separate form for each of the loan group's copyrights, patents, and trademarks (see Copyright Security Agreement (Short Form), Patent Security Agreement (Short Form), and Trademark Security Agreement (Short Form)). Boilerplate provisions of this template should track parallel provisions in the security agreement to avoid possible differing interpretations across loan documents.
